1. Agreement to Terms

By accessing or using BOS ("Service"), operated by Azuri Ventures, a British Virgin Islands company ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or through the Service.

2. Description of Service

BOS is an AI-powered marketing platform that helps businesses create, manage, and distribute marketing content. The Service includes:

  • Brand profile creation and management
  • AI-generated marketing content (proposals, briefings, social media posts)
  • AI-generated images and videos
  • Product catalog management
  • Competitor and market trend analysis
  • Social media account integration and posting
  • AI chat assistant (Copilot)

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By creating an account, you represent that you meet this requirement.

4. Acceptable Use

4.1 Prohibited Content

You may not use the Service to create, generate, store, or distribute content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory
  • Promotes violence, terrorism, or hatred against individuals or groups
  • Contains or promotes child sexual abuse material (CSAM) or exploitation of minors
  • Is sexually explicit, pornographic, or obscene
  • Infringes on intellectual property rights, trademarks, or copyrights
  • Contains malware, viruses, or malicious code
  • Violates privacy rights or contains unauthorized personal information
  • Constitutes spam, phishing, or fraudulent communications
  • Impersonates another person or entity without authorization
  • Makes false or misleading claims about products, services, or individuals

4.2 Prohibited Activities

You may not use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in deceptive or misleading marketing practices
  • Create content for illegal purposes or to facilitate illegal activities
  • Generate fake reviews, testimonials, or endorsements
  • Create deepfakes or misleading AI-generated content of real people without consent
  • Circumvent, disable, or interfere with security features of the Service
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated scripts, bots, or scrapers without authorization
  • Resell, redistribute, or sublicense access to the Service
  • Overload, flood, or spam the Service
  • Use the Service for competitive analysis or to build competing products

4.3 AI-Specific Restrictions

When using AI features, you must not:

  • Attempt to extract training data or model weights from AI systems
  • Use AI outputs to train competing AI models
  • Generate content that circumvents AI safety measures or content policies
  • Use AI to generate content for regulated industries (medical, legal, financial advice) without appropriate disclaimers
  • Create automated systems that present AI-generated content as human-created without disclosure
  • Use AI to generate personalized content targeting vulnerable populations for manipulation
  • Attempt to jailbreak or bypass AI content moderation

4.4 Social Media Integration

When using our social media integration features (Autopilot, Instagram posting), you must:

  • Comply with the terms of service of connected platforms (Meta, Instagram, etc.)
  • Not use automation to circumvent platform rate limits or restrictions
  • Not post spam, misleading content, or content that violates platform guidelines
  • Maintain appropriate content moderation for automated posts
  • Not use connected accounts for activities prohibited by the platform
  • Accept responsibility for all content posted through connected accounts

4.5 Industry-Specific Requirements

If you operate in regulated industries, you are responsible for ensuring your use of the Service complies with applicable regulations, including but not limited to: HIPAA and FDA marketing regulations (healthcare), SEC and FTC advertising rules (finance), bar association advertising rules (legal), age-gating and advertising restrictions (alcohol/tobacco), and jurisdiction-specific gambling advertising laws.

We do not provide compliance advice. You are solely responsible for ensuring your marketing content meets all applicable legal requirements.

4.6 Account Responsibility

You are responsible for all activity that occurs under your account, maintaining the security of your account credentials, ensuring all users with access to your account comply with these Terms, reporting any unauthorized access or security breaches, and content created by team members or collaborators using your account.

5. Credits and Payment

The Service uses a credit-based system for AI-generated content:

  • Base Credits: Included with your subscription plan, reset monthly, and expire at the end of each billing period
  • Additional Credits: Purchased separately, do not expire, and are used after base credits are depleted
  • Credit Consumption: Different features consume different amounts of credits as displayed in the Service

Payment is processed securely through Stripe via our affiliated payment processor. By providing payment information, you authorize us to charge your payment method for subscription fees and any additional credit purchases.

6. Subscription and Cancellation

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). You may cancel your subscription at any time through your account settings or by contacting support.

  • Cancellation takes effect at the end of the current billing period
  • You retain access to the Service until the end of the paid period
  • Unused base credits expire upon cancellation and are not refunded
  • Unused additional credits remain available if you resubscribe

7. Refund Policy

We offer refunds under the following circumstances:

  • New Subscriptions: Full refund within 14 days of initial purchase if you have not consumed more than 20% of your base credits
  • Billing Errors: Full refund for duplicate charges or incorrect billing amounts

Refunds are not available for: partial months of service, additional credit purchases, or accounts terminated for Terms violations.

8. Intellectual Property

Your Content

You retain ownership of all content you provide to the Service, including brand information, product data, images, and other materials ("Your Content"). By using the Service, you grant us a limited license to use Your Content solely to provide and improve the Service.

AI-Generated Content

Content generated by the Service using AI ("Generated Content") is provided to you for your use. To the extent permitted by law and subject to the terms of our AI providers, you may use Generated Content for your business purposes. However:

  • Generated Content may be similar to content generated for other users
  • We do not guarantee exclusivity of Generated Content
  • You are responsible for reviewing and ensuring Generated Content is accurate and appropriate before use
  • We make no warranties regarding intellectual property rights in Generated Content

Our Property

The Service, including its design, features, code, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

9. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate content. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or inappropriate material
  • You are solely responsible for reviewing, editing, and approving all content before use
  • AI-generated content should not be relied upon for legal, medical, financial, or other professional advice
  • We do not guarantee that AI-generated content will be factually accurate, complete, or suitable for your purposes
  • You are responsible for ensuring your use of AI-generated content complies with applicable laws and regulations
  • AI models are provided by third parties (including Google and others) and are subject to their terms and limitations

10. Third-Party Services

The Service integrates with third-party services, including:

  • Stripe: Payment processing, subject to Stripe's Terms of Service (https://stripe.com/legal)
  • Google: OAuth authentication and AI services (Gemini), subject to Google's Terms of Service (https://policies.google.com/terms)
  • Meta/Instagram: Social media integration, subject to Meta's Terms of Service (https://www.facebook.com/terms.php)

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the actions or content of third-party services.

11. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may:

  • Perform scheduled maintenance with advance notice when possible
  • Experience unplanned outages due to technical issues or circumstances beyond our control
  • Modify, suspend, or discontinue features with reasonable notice

We are not liable for any loss or damage resulting from service interruptions.

13. Enforcement and Termination

Enforcement

Violation of these Terms may result in:

  • Warning or notification of the violation
  • Removal or restriction of offending content
  • Temporary suspension of account access
  • Permanent termination of your account
  • Reporting to law enforcement authorities
  • Legal action to recover damages

We reserve the right to take any action we deem appropriate in our sole discretion. Serious violations may result in immediate termination without warning.

Termination

We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, engage in fraudulent or illegal activity, or pose a security risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy and data retention practices.

Appeals

If you believe your account was suspended or terminated in error, you may appeal by contacting support@azuriventures.com with "Account Appeal" in the subject line. Include your account email and an explanation of why you believe the action was incorrect. We will review appeals within 10 business days.

Reporting Violations

If you become aware of any violation of these Terms, please report it to support@azuriventures.com with a description of the violation, any relevant evidence or screenshots, and the account or content involved (if known). We will investigate all reports and take appropriate action.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE
  • ANY DAMAGES ARISING FROM AI-GENERATED CONTENT

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content or the content you generate using the Service.

17. Governing Law and Disputes

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in accordance with the rules of an internationally recognized arbitration institution, except where prohibited by law.

18. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
  • Notices: We may send notices via email to your registered address or through the Service.
